These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Umbra Global LLC ("Umbra Global," "PermitWise," "we," "our," or "us"), governing your access to and use of the PermitWise platform, including our web application, mobile applications, APIs, and all related services (collectively, the "Service").
By creating an account, accessing, or using PermitWise in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

PermitWise is a software-as-a-service (SaaS) platform that provides tools to help mobile vendors, food truck operators, and event organizers manage permits, track compliance, and organize their businesses. The Service includes:
Important: PermitWise does NOT file, submit, or process permit applications on your behalf. We do NOT guarantee the approval, issuance, or renewal of any permit, license, or inspection. We do NOT act as a government agency, legal advisor, or regulatory body.
PermitWise is an organizational tool, not a legal service. All information provided through the Service — including permit type databases, jurisdiction requirements, compliance checklists, and regulatory data — is for general informational and organizational purposes only.
To access the Service, you must create an account by providing accurate and complete information. You agree to keep your account information up to date.

On eligible subscription plans, you may invite team members to access your business account. As the account owner, you are responsible for all activity by your team members and for assigning appropriate access roles (owner, manager, staff).
We may offer a free trial period for new accounts. The trial provides access to a limited set of features as described during sign-up. At the end of the trial, you must subscribe to a paid plan to continue accessing the Service. We will not automatically charge you when the trial ends unless you have explicitly selected a paid plan.
PermitWise offers multiple subscription tiers with varying features and pricing. Current plans and pricing are displayed within the Service. We reserve the right to modify subscription plans and pricing with reasonable advance notice.
All fees are generally non-refundable. However, we may provide refunds at our discretion in cases of billing errors, extended service outages, or other exceptional circumstances. To request a refund, contact support@permitwise.app.
If you subscribe through the Apple App Store or Google Play Store, the respective store's terms and refund policies also apply. Subscription management and cancellation for in-app purchases must be handled through the respective app store.

The Service, including its design, code, features, databases, logos, branding, and content created by us, is owned by Umbra Global LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
You retain ownership of all documents, data, and content you upload to PermitWise ("Your Content"). By uploading content, you grant us a limited, non-exclusive license to store, process, and display Your Content solely to provide the Service to you. We will not use Your Content for any other purpose without your permission.
If you provide suggestions, feature requests, or feedback about the Service, you grant us the right to use such feedback without obligation or compensation to you.
We implement reasonable technical and organizational measures to protect your data, including encryption in transit (TLS), hashed passwords (bcrypt), access controls, and secure cloud hosting. For full details, please review our Privacy Policy.
However, no method of electronic storage or transmission is 100% secure. You acknowledge and accept the inherent risks of transmitting data electronically and storing data in cloud systems.
The Service may integrate with or contain links to third-party services (e.g., Stripe, government websites, event organizer portals). We are not responsible for the content, policies, or practices of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.
If you use PermitWise as an Event Organizer, you additionally agree that:
You may delete your account at any time through your account settings (see our Privacy Policy, Section 7 for instructions). Upon deletion, all your data is permanently removed and any active subscription is automatically cancelled.
We may suspend or terminate your account if you:
We will make reasonable efforts to notify you before termination, except in cases of severe violations. Upon termination by us, you may request a copy of your data within 30 days.

We do not warrant that the Service will meet your specific requirements or that any particular outcome (such as permit approval, successful inspections, or regulatory compliance) will result from your use of the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
You agree to indemnify, defend, and hold harmless Umbra Global LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
These Terms are governed by and construed in accordance with the laws of the State of Pennsylvania, United States, without regard to its conflict of law principles.
Before initiating formal proceedings, you agree to first contact us at support@permitwise.app and attempt to resolve the dispute informally for at least 30 days.
If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the Commonwealth of Pennsylvania. The arbitrator's decision shall be final and binding.
You agree that any disputes will be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding.
Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement or unauthorized access to the Service.
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet or telecommunications failures, cyberattacks, or acts of war or terrorism.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Umbra Global LLC regarding your use of the Service. These Terms supersede all prior agreements, understandings, or representations regarding the Service.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of Umbra Global LLC.
We may modify these Terms at any time. When we make material changes, we will:
Your continued use of PermitWise after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
